Terms and Conditions

Please read these terms carefully before engaging our services.

Last updated: March 2026

These Terms and Conditions ("Agreement") establish the terms under which Express Tax & Accounting ("we," "us," "our," or "firm") provides professional services to you ("client," "you," or "your"). By engaging our services, you agree to these terms.

Services Provided

Express Tax & Accounting provides professional tax preparation, tax planning, accounting, payroll processing, bookkeeping, and notary services. All services are provided based on information and documentation supplied by the client. We prepare returns based on the assumption that all information provided is accurate, complete, and truthful.

Fees and Payment

Service fees are determined based on the complexity and scope of work required. Fees will be quoted in advance and confirmed before services commence. Payment is due upon completion of services unless alternative arrangements are made in writing. Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law.

Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information and documentation. Clients must maintain organized records and provide necessary receipts, statements, and supporting documents. Clients are responsible for reviewing prepared returns before filing and notifying us of any errors or omissions.

Limitation of Liability

Our liability is limited to the fees paid for services rendered. Express Tax & Accounting is not responsible for any consequential, indirect, or punitive damages arising from our services. We are not liable for penalties, interest, or additional taxes resulting from client-provided inaccurate information or failure to disclose relevant financial facts.

Scope of Engagement

Our engagement is limited to the specific services outlined in the engagement letter or service proposal. Unless explicitly agreed upon in writing, we do not provide bookkeeping, business consulting, financial planning, or legal advice. If additional services are needed, we will discuss them with you and obtain your approval before proceeding.

We are not responsible for work performed by other professionals, including bookkeepers, accountants, or attorneys, unless we have specifically engaged them as subcontractors with your knowledge and consent.

Engagement Letters

For most engagements, we provide an engagement letter that outlines the scope of work, fees, and terms. The engagement letter, along with these general Terms and Conditions, constitutes the entire agreement between us regarding the services to be provided.

Tax Law Changes

Our fees are based on current tax laws and regulations. If there are significant changes in tax law that require substantial additional work, we may adjust our fees accordingly and will discuss this with you before proceeding.

IRS Audit or Examination

If the IRS initiates an audit or examination of your return, additional fees may apply for representation and support. These fees will be discussed and agreed upon separately. Our representation in an audit is limited to the years for which we prepared the return, unless otherwise agreed in writing.

You are responsible for responding promptly to audit notices and providing us with timely information and documentation needed for the audit defense.

Electronic Transmission

We may transmit documents and financial information electronically. While we use secure methods, electronic transmission carries some risk. By requesting our services, you authorize us to use secure email and file transfer methods.

Termination of Services

Either party may terminate the engagement by providing written notice. Upon termination, all fees for work completed and expenses incurred must be paid. We may retain client files until outstanding fees are paid, subject to professional and legal obligations.

In the event of termination, we will provide reasonable transition assistance to allow you to transfer your files and work to another professional, subject to any outstanding balances.

Independence and Professional Standards

We maintain professional independence and adhere to applicable professional standards and ethics codes. We may decline services or engagements that would compromise our independence or violate professional standards.

No Warranty

While we strive to provide accurate and reliable services, we do not guarantee specific tax results or refund amounts. Tax law is complex and subject to interpretation. Our services are provided on a "professional standards" basis.

We are not responsible for information provided by third parties or errors in documents supplied by you.

Dispute Resolution

Any disputes arising from this Agreement shall be governed by the laws of the State of Illinois. Both parties agree to attempt to resolve disputes through good faith negotiation before pursuing litigation.
